These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Core Synapse Tech Hub ("Company," "we," "us," or "our"), a division of Core Synapse, with its principal place of business. These Terms govern your access to and use of the Company's website (coresynapsetechhub.com), mobile application (if applicable), and related services (collectively, the "Services"), including the browsing, purchase, and delivery of electronics, electronic accessories, and gadgets through our online drop-shipping platform.

By accessing the Services, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our [Privacy Policy](insert-link-to-privacy-policy) and [Shipping Policy](insert-link-to-shipping-policy). If you do not agree with these Terms, you must immediately cease all use of the Services.

The Company operates as a dropshipping platform and does not maintain physical inventory. Orders are fulfilled directly by reputable third-party suppliers, which may impact fulfillment timelines, shipping details, and product specifications. All references to "products" or "goods" herein include such third-party items.

1. Eligibility and Acceptance
To use the Services or purchase products, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, and possess the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete.

Your continued use of the Services following any modifications to these Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.

2. Modifications to Terms
The Company reserves the right to revise these Terms at any time, for any reason, including but not limited to changes in applicable laws, business practices, or service offerings. Revised Terms will be posted on the website with an updated effective date. For material changes, we will provide notice via email (to the address associated with your account) or a prominent notice on the Services. Your continued use of the Services after such notice constitutes acceptance of the revised Terms.

3. User Accounts and Security
Certain features of the Services may require registration for a user account. You agree to provide truthful, accurate, and up-to-date information during registration and to maintain the confidentiality of your account credentials. You are solely responsible for all activities conducted under your account, including any unauthorized access. The Company reserves the right to suspend or terminate your account at its sole discretion, with or without notice, for any violation of these Terms, suspected fraudulent activity, or other reasons. Upon termination, you must cease all use of the Services, and any outstanding obligations (e.g., payment) remain due.

4. Prohibited Activities
You agree not to engage in any of the following activities while using the Services:
- Violating any applicable local, state, national, or international law or regulation.
- Harassing, defaming, or infringing upon the rights of others, including intellectual property rights.
- Uploading, transmitting, or distributing viruses, malware, or any harmful code.
- Attempting to gain unauthorized access to the Services, user accounts, or third-party systems.
- Posting false, misleading, or unauthorized reviews, advertisements, or content.
- Reselling products obtained through the Services without express written permission from the Company.

The Company may monitor usage and, in its sole discretion, remove content, suspend access, or report violations to law enforcement authorities. Violation of this section may result in immediate termination of your account and legal action.

5. Products, Pricing, and Availability
Product descriptions, images, specifications, and pricing are provided for informational purposes only and are sourced from third-party suppliers. The Company makes no representations or warranties regarding the accuracy, completeness, or suitability of such information. Actual product colors, sizes, features, or performance may vary. It is your responsibility to verify compatibility (e.g., device specifications for electronic accessories) prior to purchase.

All prices are quoted in United States Dollars (USD) and exclude applicable taxes, duties, and shipping fees, which will be calculated and displayed at checkout. The Company reserves the right to correct pricing errors and adjust prices without notice. Product availability is subject to supplier stock levels and may change without prior notification. The Company may impose purchase limits to prevent abuse.

6. Orders and Payments
Placement of an order constitutes an offer to purchase, which the Company may accept or reject at its discretion (e.g., due to pricing errors, fraud detection, or stock unavailability). Upon acceptance, you will receive a confirmation email. All sales are final upon acceptance, subject to the returns policy outlined below.

Payments are processed securely through third-party providers (e.g., Visa, Mastercard, American Express, PayPal). You authorize the Company to charge your selected payment method for the total order amount, including taxes and shipping. Failed payments may result in order cancellation. In the dropshipping model, the Company acts as an intermediary; fulfillment is handled by suppliers, which may lead to processing delays of 2–5 business days.

7. Shipping and Delivery
Products are shipped directly from third-party suppliers to the delivery address provided. Estimated delivery times are as follows: domestic (U.S.) orders, 7–14 business days; international orders, 14–30 business days or longer, subject to customs processing. Shipping costs are non-refundable and displayed at checkout. You are responsible for providing a complete and accurate delivery address.

Title and risk of loss transfer to you upon delivery to the carrier. The Company is not liable for delays, damages, or losses caused by carriers, suppliers, customs authorities, or acts of God. For lost or damaged shipments, notify us within thirty (30) days of the expected delivery date to initiate an investigation with the supplier or carrier.

8. Returns, Refunds, and Warranties
The Company offers a thirty (30) day return policy for unused products in their original packaging and condition. Electronics and gadgets must be returned in defect-free condition; please test products carefully and retain all accessories.

To initiate a return, contact support@coresynapsetechhub.com within thirty (30) days of delivery. Approved refunds will be processed to the original payment method within ten (10) business days, excluding original shipping costs (unless the return is due to our error). In the dropshipping model, returns are directed to suppliers, which may extend processing times; the Company will facilitate but cannot guarantee supplier compliance.

All products are sold "AS IS" and subject to the supplier's or manufacturer's warranty (typically 1 year for electronics). 9. Intellectual Property
The Services, including all text, graphics, logos, product images, and software, are the property of the Company or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. Unauthorized reproduction, distribution, or modification is strictly prohibited.

User-submitted content (e.g., reviews) grants the Company a perpetual, irrevocable, royalty-free license to use, modify, and display such content.

10. User-Generated Content
Any content you submit (e.g., reviews, comments) must not violate these Terms or third-party rights. You represent that your submissions are original, truthful, and non-infringing. The Company reserves the right to review, edit, or remove submissions at its discretion. You retain ownership of your content but grant the Company the rights outlined in Section 9.

 

11. Limitation of Liability and Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Specific to electronics: Products may involve risks such as battery malfunction or device incompatibility; you assume all such risks. Dropshipping limitations may result in supplier errors, for which the Company's liability is limited to refunds.

Some jurisdictions do not allow certain disclaimers; to the extent applicable, these limitations may not apply to you.

12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising hereunder shall be resolved exclusively through binding arbitration in San Francisco, California, under the American Arbitration Association (AAA) rules, on an individual basis (no class actions). If arbitration is unavailable, disputes shall be brought in the state or federal courts of San Francisco County, California. You agree to waive any right to a jury trial.

For international users, you consent to the application of U.S. law and jurisdiction.

13. Third-Party Links and Suppliers
The Services may contain links to third-party websites or references to suppliers. Such links are provided for convenience only, and the Company disclaims any responsibility for their content, accuracy, or practices. Suppliers operate independently; their terms and privacy policies apply to interactions with them.

14. Force Majeure
The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, strikes, supplier disruptions, or governmental restrictions.

15. Miscellaneous
These Terms constitute the entire agreement between you and the Company. If any provision is deemed invalid, the remainder shall remain enforceable. The Company's failure to enforce any right does not waive it. You may not assign these Terms without our consent; the Company may assign freely.
